Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Verity Health, Inc. (“Verity Health”). By creating an account or using our services, you agree to these Terms.
1. Acceptance of Terms
By accessing or using Verity Health services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Services
Verity Health provides a healthcare revenue cycle intelligence platform that includes eligibility verification, prior authorization, denial management, provider data services, and related modules (the “Services”).
3. Account Registration
You must provide accurate and complete information when registering. You are responsible for safeguarding your account credentials and for all activity under your account.
4. Acceptable Use
- You will not use the Services in any unlawful manner or for any unlawful purpose
- You will not attempt to reverse engineer, decompile, or extract source code
- You will not use the Services to transmit malicious code or interfere with operation
- You will not exceed published rate limits or attempt to circumvent quota controls
5. Protected Health Information
If you use the Services to process PHI, a Business Associate Agreement (BAA) must be in place between your organization and Verity Health prior to any PHI being submitted. The BAA governs all handling of PHI and takes precedence over these Terms with respect to PHI-related obligations.
6. Subscription and Fees
Paid Services are billed according to your selected plan. Fees are non-refundable except as required by law. We may change pricing with at least 30 days' notice prior to the start of a new billing period.
7. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate immediately for material breach, including failure to pay or violation of Section 4. Upon termination, your access ends and we will delete or return your data according to the BAA and Privacy Policy.
8. Disclaimers
The Services are provided “as is” without warranties of any kind, except as expressly stated in a separate enterprise agreement. Verity Health does not warrant that the Services will be uninterrupted, error-free, or completely secure.
Verity Health is not a substitute for clinical judgment. Eligibility results, code suggestions, and other outputs are tools to support your team and must be reviewed by qualified personnel before relying on them for clinical or billing decisions.
9. Limitation of Liability
To the maximum extent permitted by law, Verity Health's aggregate liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
